1. Acceptance of Terms
Welcome to Adidi. By downloading, installing, or using our application, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Adidi application.
These Terms constitute a legally binding agreement between you and Adidi regarding your use of the application and any services provided through the application.

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms and/or by other means as determined by us.
Your continued use of Adidi after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by the modified Terms.

You agree not to use Adidi for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with Adidi.
You shall not:
- Use the application in any manner that could disable, overburden, damage, or impair the application
- Use any robot, spider, or other automatic device, process, or means to access the application for any purpose
- Use the application in any manner that could interfere with any other party's use of the application
- Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the application
- Use the application to violate any applicable local, state, national, or international law
6. User Content
Our application may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material. You are responsible for the content that you post to the application, including its legality, reliability, and appropriateness.
By posting content to the application, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the application. You retain any and all of your rights to any content you submit, post, or display on or through the application and you are responsible for protecting those rights.

The application and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Adidi, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the application for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our application.
8. Termination
We may terminate or suspend your account and bar access to the application immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the application, or notify us that you wish to delete your account.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Disclaimer of Warranties
The application is provided on an "AS IS" and "AS AVAILABLE" basis. Adidi expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Adidi makes no warranty that the application will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.
10. Limitation of Liability
In no event shall Adidi, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the application;
- Any conduct or content of any third party on the application;
- Any content obtained from the application; and
- Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
11. Indemnification
You agree to defend, indemnify, and hold harmless Adidi, its parent, subsidiaries, affiliates, and all of their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
- Your use of the application;
- Your breach of these Terms;
- Any breach of your representations and warranties set forth in these Terms;
- Your violation of the rights of a third party, including but not limited to intellectual property rights; or
- Any harmful act toward any other user of the application with whom you connected via the application.
Notwithstanding the foregoing, we reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.
12. Governing Law
These Terms shall be governed by and defined following the laws of India. Adidi and yourself irrevocably consent that the courts of [Your Country/State] shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.
13. Dispute Resolution
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of [Arbitration Authority] by one or more arbitrators appointed in accordance with said rules.
